CBI - Congregation B'nai Isreal Constitution

Dear Little Neck Jewish Center Members:

About 18 months ago Little Neck President Neil Garfinkel formed a temporary committee to draft a new Constitution and By-laws for Little Neck Jewish Center. The Committee members were Dan Budne, Wendy Goldman, and Donald Schoenholt, Chairman. The Committee produced a document that was tabled by then president Alan Laufer, pending the outcome of negotiations between Little Neck and Temple Torah on consolidation. The consolidation process requires a Constitution and By-laws document for the new congregational entity.

The Committee was reactivated and presented the LNJC Steering Committee with a draft that incorporated ideas from the current LNJC Constitution and By-laws (1992), The By-laws of Temple Torah of Little Neck, and those of nine other conservative congregations and members as we are of United Synagogue for Conservative Judaism. A model Constitution, provided by United Synagogue was also used in developing the proposed Constitution and By-laws. The Little Neck Jewish Center Steering Committee, charged with preparations and negotiations related to the consolidation reviewed the document which as you may notice (upper left corners of document pages) has undergone eight complete renovations prior to being put before you.

The proposed Constitution and By-laws was framed by LNJC members only, with the understanding that Temple Torah would comment on the proposed By-laws after being presented with a completed document. These By-laws are meant for the new congregation. Should consolidation fail to take place then the attached document will be put forward with word changes to suit the nature of the different circumstances as the new Constitution and By-laws of Little Neck Jewish Center replacing the existing Constitution which has been the governing document of the congregation since 1992.

The name Congregation B'nai Israel is a working title. The actual name of the new congregation may be a different name.

According to the New York Religious Corporation Law "Constitution" and "By-laws" mean the same thing. The attorneys for the two congregations have read the document. They have indicated that they require only minor New York law based changes. Temple Torah was presented with the document on December 17, 2006, but has not yet made comment on the document. We expect that the final draft of the By-laws incorporated in the closing documents of the consolidation will be much like the attached but not exactly as the attached document.

The President of the LNJC Congregation will be scheduling an informational meeting on the new By-laws and possibly other topics. We look forward to seeing you there and answering your questions about the proposed Constitution and By-laws.
